1. Introduction
These Terms of Service ("Terms") govern your use of the review response management services ("Services") provided by ReviewShield ("we", "us", "our"), a trading name of ReviewShield Ltd, registered in England and Wales.
By engaging our Services, you ("Client", "you") agree to be bound by these Terms. If you do not agree, please do not use our Services.
2. Services
ReviewShield provides professional, human-written responses to reviews posted on your Google Business Profile and other supported platforms. Our Services include:
- Monitoring of new reviews on connected profiles
- Drafting and posting professional responses within agreed timeframes
- Crisis escalation alerts (where included in your plan)
- Monthly or weekly reporting on review performance
3. Account Access
To deliver our Services, you will grant us Manager-level access to your Google Business Profile. This access is used solely for the purpose of responding to reviews. We will not modify your business listing, hours, photos, or other profile information. You may revoke access at any time.
4. Billing & Payment
All plans are billed monthly in advance in GBP (£). Prices are exclusive of VAT unless otherwise stated. Payment is due on the date of invoice. We reserve the right to suspend Services for accounts more than 14 days overdue.
5. Cancellation
All plans operate on a rolling monthly basis with no minimum commitment. You may cancel at any time by providing 30 days' written notice via email. Upon cancellation, we will complete any in-progress review responses and revoke our access to your profiles within 7 business days. There are no exit fees or penalties.
6. Our Response Framework
All review responses are crafted using our Neutral De-Escalation Framework, which is designed to be professional, empathetic, and non-admission-of-fault. During your first month, you may opt into "approval mode" to review every response before publication. After the onboarding period, you may continue in approval mode or switch to fully managed mode at any time.
7. Limitation of Liability
Our review responses do not constitute legal advice. While our framework is designed to protect your interests, we are not liable for any legal disputes arising from customer reviews or our responses to them. You should seek independent legal advice for any ongoing legal matters related to customer complaints.
Our total liability under these Terms shall not exceed the fees paid by you in the 3 months immediately preceding the claim.
8. Money-Back Guarantee
If we fail to respond to every qualifying review within the agreed timeframe during your first 30 days, you are entitled to a full refund for that month. Contact us at hello@reviewshield.co.uk to make a claim.
9. Intellectual Property
All review responses posted on your behalf become your intellectual property once published. Our frameworks, templates, methodologies, and internal processes remain the intellectual property of ReviewShield Ltd.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

5. Data Sharing
We do not sell, rent, or trade your personal data. We may share data with the following categories of third parties, all of whom are bound by appropriate data processing agreements:
- Google: Via their Business Profile platform to post review responses on your behalf
- Payment processors: To handle billing securely
- Email service providers: To send transactional and marketing communications
- Analytics providers: To understand website usage patterns (anonymised where possible)
We do not transfer personal data outside the UK/EEA unless appropriate safeguards are in place (e.g., Standard Contractual Clauses or adequacy decisions).
6. Data Retention
We retain your personal data for the duration of our business relationship and for up to 12 months after termination for operational, tax, and legal purposes. Marketing contact data is retained until you unsubscribe. You may request earlier deletion at any time.
